This is the MageEnv Proprietary Commercial License. It is a proprietary, commercial license — MageEnv products are licensed, not sold — and it governs use of MageEnv’s commercially licensed Magento / Adobe Commerce extensions. MageEnv Proprietary License

This software is proprietary and is distributed under commercial terms. It is licensed, not sold. By installing or using it you agree to the terms below.

1. OWNERSHIP

This software, including all source code, templates, layout, configuration, documentation and related materials (the “Software”), is the proprietary and confidential property of MageEnv (“Licensor”).

2. GRANT OF LICENSE

Subject to payment of the applicable license fee and continued compliance with these terms, Licensor grants the purchaser (“Licensee”) a non-exclusive, non-transferable, non-sublicensable license to install and use the Software on the Magento 2 store instance(s) covered by the purchased license, solely for Licensee’s own commercial operations.

3. RESTRICTIONS

Licensee shall not, and shall not permit any third party to:

(a)copy, distribute, resell, sublicense, rent, lease or lend the Software;
(b)publish the Software or make it available on any public repository, marketplace or file-sharing service;
(c)remove, alter or obscure any copyright, trademark or proprietary notice;
(d)use the Software to build or offer a competing product.

Modifying the Software for Licensee’s own internal use is permitted; modified copies remain subject to this license and are not supported by Licensor.

4. INTELLECTUAL PROPERTY

All title, ownership and intellectual property rights in and to the Software remain with Licensor. No rights are granted except as expressly stated here.

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR ITS USE.

7. TERMINATION

This license terminates automatically on breach of any term. On termination Licensee must cease all use of the Software and destroy all copies.

8. GOVERNING TERMS

Use of the Software is additionally governed by the commercial agreement and/or order form agreed between Licensor and Licensee. In case of conflict, the signed commercial agreement prevails.
